1. Introduction and Definitions

1.1 Introduction

Welcome to Myelin Technologies Limited's comprehensive healthcare platform and digital health services ("the Platform", "the Application", "our Service", "Myelin Health"). These Terms and Conditions ("Terms", "Agreement", "Terms of Service") constitute a legally binding agreement between you ("User", "Patient", "Healthcare Consumer", "you", "your") and Myelin Technologies Limited, a company incorporated under the laws of England and Wales with company registration number [Company Number], having its registered office at London Bridge, City of London, United Kingdom ("Company", "we", "us", "our", "Myelin").

1.2 Definitions

For the purposes of these Terms, the following definitions shall apply:

  • "Application" means the Myelin Health mobile application, web platform, and all associated software, services, and technologies.
  • "Healthcare Provider" means licensed medical professionals, physicians, nurses, specialists, and other qualified healthcare practitioners who provide services through our Platform.
  • "Health Information" means any personal health information, medical records, diagnostic data, treatment history, and related healthcare data.
  • "Telemedicine Services" means remote healthcare services provided through digital communication technologies.
  • "Emergency Situation" means any medical condition requiring immediate medical attention or intervention to prevent serious harm, disability, or death.
  • "Personal Data" has the meaning given to it under the General Data Protection Regulation (GDPR) and applicable data protection laws.
  • "Services" means all healthcare-related services, features, and functionalities provided through the Platform.

2. Emergency Use Disclaimer and Critical Limitations

2.1 Absolute Prohibition on Emergency Use

This Platform is explicitly and categorically not intended, designed, or suitable for use in any emergency medical situations. Our Platform is exclusively designed for routine healthcare management, non-urgent medical consultations, appointment scheduling, health monitoring, and general wellness support. Any attempt to use this Platform for emergency medical situations is strictly prohibited and may result in serious harm, permanent disability, or death.

2.2 Comprehensive Definition of Emergency Situations

Emergency situations include, but are not limited to, any condition requiring immediate medical intervention:

  • Cardiac arrest, heart attack, or severe chest pain
  • Stroke symptoms or sudden neurological changes
  • Severe breathing difficulties or respiratory distress
  • Severe allergic reactions or anaphylaxis
  • Loss of consciousness or altered mental state
  • Severe trauma, injuries, or accidents
  • Severe bleeding or hemorrhaging
  • Poisoning, overdose, or toxic exposure
  • Severe burns or electrical injuries
  • Obstetric emergencies or complications during pregnancy
  • Pediatric emergencies involving infants or children
  • Mental health crises including suicidal ideation
  • Severe pain that may indicate serious underlying conditions
  • Any condition where delay in treatment could result in permanent harm

2.3 Mandatory Emergency Response Protocol

IN ANY EMERGENCY SITUATION, YOU MUST:

  • United Kingdom: Call 999 immediately for emergency services
  • United States: Call 911 immediately for emergency services
  • European Union: Call 112 immediately for emergency services
  • Other Countries: Contact your local emergency services number
  • Go directly to the nearest emergency room or hospital
  • Contact emergency medical services or ambulance services
  • Seek immediate in-person medical attention from qualified emergency medical professionals
  • Never rely on this Platform for emergency medical advice, diagnosis, or treatment

2.4 Comprehensive Liability Disclaimer for Emergency Misuse

Myelin Technologies Limited, its officers, directors, employees, agents, healthcare providers, and affiliates expressly disclaim all liability, responsibility, and damages of any kind, whether direct, indirect, incidental, consequential, special, exemplary, or punitive, arising from or related to the misuse of this Platform in emergency situations. This includes, without limitation, liability for personal injury, wrongful death, permanent disability, medical malpractice, delayed treatment, misdiagnosis, or any other harm resulting from reliance on this Platform during medical emergencies.

3. Acceptance and Modification of Terms

3.1 Acceptance of Terms

By accessing, downloading, installing, registering for, or using our Platform in any manner, you acknowledge that you have read, understood, and agree to be legally bound by these Terms in their entirety, including all policies incorporated by reference. Your use of the Platform constitutes your electronic signature and agreement to these Terms. If you do not agree to these Terms, you must immediately cease all use of the Platform and uninstall any downloaded applications.

3.2 Modifications to Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Material changes will be communicated through email notification, in-app notifications, or prominent notices on our Platform at least thirty (30) days prior to the effective date. Non-material changes may be implemented immediately upon posting. Your continued use of the Platform after any modifications constitutes acceptance of the revised Terms. We recommend regularly reviewing these Terms to stay informed of any changes.

4. Eligibility and Account Registration

4.1 Eligibility Requirements

To use our Platform, you must: (a) be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher; (b) have the legal capacity to enter into binding agreements; (c) not be prohibited from using the Platform under applicable laws; (d) provide accurate and complete registration information; and (e) maintain the security and confidentiality of your account credentials. Users under 18 years of age are strictly prohibited from using our Platform under any circumstances, including with parental or guardian consent.

4.2 Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We recommend using strong, unique passwords and enabling two-factor authentication where available. You may not share your account with others or allow others to access your account.

5. Scope of Services and Permitted Use

5.1 Platform Services

Our Platform provides the following non-emergency healthcare services:

  • Scheduling and management of non-urgent medical appointments
  • Telemedicine consultations for routine healthcare needs
  • Health information management and medical record storage
  • Prescription management and medication reminders
  • Health monitoring and wellness tracking
  • Access to educational health resources and information
  • Communication with healthcare providers for non-emergency matters
  • Health insurance and billing management
  • Specialist referrals and care coordination

5.2 Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree to use the Platform responsibly and in good faith, providing accurate information and following all applicable healthcare protocols and guidelines.

6. Medical Disclaimer and Professional Responsibility

6.1 No Medical Advice Guarantee

The information, services, and content provided through our Platform are for informational and educational purposes only and do not constitute medical advice, diagnosis, or treatment recommendations. The Platform facilitates communication between you and licensed healthcare providers, but does not itself provide medical services. All medical decisions should be made in consultation with qualified healthcare professionals who have examined you in person or through appropriate telemedicine protocols.

6.2 Professional Medical Relationship

Healthcare providers using our Platform maintain independent professional relationships with patients. We do not control, supervise, or direct the medical judgment or treatment decisions of healthcare providers. Each healthcare provider is solely responsible for their professional conduct, medical decisions, and compliance with applicable medical standards and regulations.

7. Healthcare Provider Licensing and Credentials

All healthcare providers on our Platform must maintain valid professional licenses and credentials in their respective jurisdictions. We conduct verification of provider credentials, but you are encouraged to independently verify provider qualifications. Healthcare providers are responsible for ensuring they are licensed to provide services in your jurisdiction and for maintaining their professional standards and continuing education requirements.

8. Telemedicine and Remote Consultation Terms

8.1 Telemedicine Limitations

Telemedicine services have inherent limitations compared to in-person medical consultations. These limitations include the inability to perform physical examinations, limited diagnostic capabilities, potential technology failures, and communication barriers. You acknowledge these limitations and agree that telemedicine may not be appropriate for all medical conditions or situations.

8.2 Technical Requirements

You are responsible for ensuring you have the necessary technology, internet connection, and technical capabilities to participate in telemedicine consultations. This includes having a compatible device, stable internet connection, and appropriate privacy settings for confidential medical discussions.

9. User Responsibilities and Conduct

As a user of our Platform, you agree to:

  • Provide accurate, complete, and truthful information about your health, medical history, and personal details
  • Update your information promptly when changes occur
  • Maintain the confidentiality and security of your account credentials
  • Use the Platform only for legitimate healthcare purposes
  • Respect the professional boundaries and time of healthcare providers
  • Follow all treatment recommendations and medication instructions provided by healthcare providers
  • Report any adverse reactions or complications promptly
  • Comply with all applicable laws and regulations
  • Treat all users and healthcare providers with respect and professionalism
  • Understand and adhere to the emergency use limitations outlined in these Terms

10. Prohibited Uses and Activities

You are strictly prohibited from:

  • Using the Platform for any emergency medical situations
  • Providing false, misleading, or inaccurate health information
  • Impersonating healthcare providers or other users
  • Sharing prescription medications or controlled substances
  • Using the Platform for illegal drug-seeking behavior
  • Harassing, threatening, or abusing healthcare providers or other users
  • Attempting to circumvent security measures or access unauthorized areas
  • Sharing your account credentials with others
  • Using the Platform for commercial purposes without authorization
  • Violating any applicable laws, regulations, or professional standards
  • Interfering with the proper functioning of the Platform
  • Attempting to reverse engineer or modify the Platform software

11. Privacy, Data Protection, and GDPR Compliance

Your privacy and the protection of your personal and health information are of paramount importance to us. Our collection, use, storage, and protection of your personal data are governed by our comprehensive Privacy Policy, which complies with the General Data Protection Regulation (GDPR), the Data Protection Act 2018, HIPAA (where applicable), and other relevant data protection laws. By using our Platform, you consent to the processing of your personal data as described in our Privacy Policy.

12. Health Information Portability and Accountability

12.1 HIPAA Compliance

Where applicable, our Platform complies with the Health Insurance Portability and Accountability Act (HIPAA) and other relevant health information protection regulations. We implement appropriate administrative, physical, and technical safeguards to protect your health information from unauthorized access, use, or disclosure.

12.2 Health Information Sharing

Your health information may be shared with healthcare providers, insurance companies, and other authorized parties as necessary for treatment, payment, and healthcare operations, and as permitted or required by law. You have the right to request restrictions on the use and disclosure of your health information.

13. Payment Terms and Billing

13.1 Payment Processing

All payments for services provided through our Platform are processed securely through third-party payment processors. You agree to provide accurate and complete payment information and to promptly update such information if it changes. We accept major credit cards, debit cards, and other payment methods as specified on the Platform.

13.2 Billing and Charges

You will be charged for services at the time of booking or as otherwise specified. All fees are non-refundable except as expressly provided in these Terms. You are responsible for all charges incurred under your account, including applicable taxes and fees.

13.3 Insurance and Third-Party Payments

If you are using insurance or third-party payment methods, you are responsible for ensuring coverage and obtaining any necessary pre-authorizations. We may assist with insurance claims processing, but we do not guarantee insurance coverage or reimbursement.

13.4 Cancellation and Refund Policy

Cancellation Requirements: All appointment cancellations must be made at least 48 hours in advance of the scheduled appointment time. Cancellations made with less than 48 hours notice are subject to the full appointment fee and are non-refundable.

Late Cancellation Policy: If you need to cancel an appointment with less than 48 hours notice, you must contact your healthcare provider, clinic, or specialist directly. Myelin Technologies Limited will not and cannot offer refunds for cancellations made less than 48 hours before the scheduled appointment time.

Refund Processing: Eligible refunds for cancellations made 48 hours or more in advance will be processed within 5-10 business days to the original payment method. Refund processing times may vary depending on your financial institution.

No-Show Policy: Failure to attend a scheduled appointment without prior cancellation will result in the full appointment fee being charged with no refund available. This policy ensures fair access to healthcare services for all users.

Emergency Exceptions: In cases of documented medical emergencies or other extraordinary circumstances beyond your control, refund requests may be considered on a case-by-case basis. Such requests must be submitted with appropriate documentation within 7 days of the missed appointment.

14. Intellectual Property Rights

14.1 Platform Ownership

The Platform, including all software, applications, content, features, and functionality, is owned by Myelin Technologies Limited and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. All rights, title, and interest in and to the Platform remain exclusively with Myelin Technologies Limited.

14.2 User Content License

By submitting content to the Platform, you grant Myelin Technologies Limited a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with providing the Platform services. You retain ownership of your content, but you grant us the right to use it as necessary to operate the Platform.

14.3 Trademark Rights

MYELIN, MYELIN TECHNOLOGIES, and all related logos, trademarks, and service marks are the exclusive property of Myelin Technologies Limited. You may not use our trademarks without our prior written consent. All other trademarks, service marks, and trade names used on the Platform are the property of their respective owners.

14.4 Copyright Protection

We respect intellectual property rights and expect our users to do the same. If you believe that content on our Platform infringes your copyright, please contact us with a detailed notice including: (a) identification of the copyrighted work, (b) identification of the infringing material, (c) your contact information, (d) a statement of good faith belief that the use is not authorized, and (e) a statement that the information is accurate and you are authorized to act on behalf of the copyright owner.

15. Third-Party Services and Integrations

15.1 Third-Party Service Providers

Our Platform may integrate with or provide access to third-party services, including payment processors, insurance providers, pharmacy services, laboratory services, and other healthcare-related services. These third-party services are governed by their own terms of service and privacy policies. We do not control, endorse, or assume responsibility for any third-party services.

15.2 Third-Party Content and Links

The Platform may contain links to third-party websites, applications, or content that are not owned or controlled by Myelin Technologies Limited. We do not examine, control, or endorse the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any third-party content or services.

15.3 Integration Availability

Third-party integrations may be subject to availability, technical limitations, and changes in third-party policies or services. We reserve the right to modify, suspend, or discontinue any third-party integrations at any time without notice. We are not responsible for any disruption or loss of functionality resulting from changes to third-party services.

15.4 Data Sharing with Third Parties

When you use third-party services through our Platform, certain information may be shared with those third parties as necessary to provide the requested services. Such data sharing is governed by our Privacy Policy and the privacy policies of the respective third-party services. You are responsible for reviewing and understanding the privacy practices of any third-party services you choose to use.

16. Technical Requirements and System Availability

16.1 System Requirements

To use our Platform, you must have access to compatible devices and internet connectivity. Minimum system requirements include: (a) a supported web browser or mobile application, (b) stable internet connection with adequate bandwidth for video consultations, (c) compatible operating system, and (d) necessary hardware such as camera and microphone for telemedicine services. You are responsible for ensuring your technology meets these requirements.

16.2 Platform Availability

While we strive to maintain high availability, we do not guarantee that the Platform will be available 100% of the time. The Platform may be subject to downtime due to maintenance, updates, technical issues, or circumstances beyond our control. We aim to minimize service interruptions and will provide advance notice of scheduled maintenance when possible.

16.3 Performance and Compatibility

Platform performance may vary based on your internet connection, device capabilities, and network conditions. We do not guarantee compatibility with all devices, browsers, or operating systems. Older or unsupported technology may result in limited functionality or inability to access certain features of the Platform.

16.4 Security Requirements

You are responsible for maintaining the security of your devices and internet connection when using the Platform. This includes using updated antivirus software, secure networks, and following best practices for password security. We recommend avoiding public Wi-Fi networks for sensitive healthcare communications and using secure, private internet connections whenever possible.

17. Service Interruptions and Maintenance

17.1 Scheduled Maintenance

We may perform scheduled maintenance on the Platform to improve performance, add features, or address security issues. We will provide advance notice of scheduled maintenance through email notifications, in-app messages, or website announcements. During maintenance periods, some or all Platform features may be temporarily unavailable.

17.2 Unscheduled Interruptions

The Platform may experience unscheduled interruptions due to technical failures, cyber attacks, network issues, or other unforeseen circumstances. We will work diligently to restore service as quickly as possible and will communicate updates through our status page and official communication channels. We are not liable for any damages or losses resulting from service interruptions.

17.3 Emergency Backup Plans

Users should maintain alternative healthcare access plans that do not rely solely on our Platform. In case of service interruptions, you should have contact information for your healthcare providers, local emergency services, and alternative methods for accessing urgent medical care. Our Platform is designed to supplement, not replace, traditional healthcare access methods.

17.4 Data Backup and Recovery

We maintain regular backups of Platform data and have disaster recovery procedures in place. However, we recommend that users maintain their own records of important health information and communications. While we strive to prevent data loss, we cannot guarantee complete data recovery in all circumstances and are not liable for any data loss that may occur during service interruptions or system failures.

18. Comprehensive Liability Exclusion and Legal Immunity

18.1 Absolute Exclusion of All Liability

To the maximum extent permitted by law, Myelin Technologies Limited, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, licensors, contractors, healthcare providers, third-party service providers, and all related entities (collectively, "Myelin Parties") shall have absolutely no liability whatsoever for any damages, losses, injuries, harm, or consequences of any kind, whether direct, indirect, incidental, special, consequential, exemplary, punitive, or otherwise, arising from or related to:

  • Your use or inability to use the Platform
  • Any medical advice, diagnosis, treatment, or healthcare services provided through the Platform
  • Any errors, omissions, or inaccuracies in Platform content or services
  • Any technical failures, system downtime, or service interruptions
  • Any data breaches, security incidents, or privacy violations
  • Any actions or omissions of healthcare providers using the Platform
  • Any prescription errors, medication interactions, or adverse drug reactions
  • Any misdiagnosis, delayed diagnosis, or failure to diagnose medical conditions
  • Any personal injury, wrongful death, or permanent disability
  • Any financial losses, business interruption, or economic damages
  • Any emotional distress, mental anguish, or psychological harm
  • Any third-party actions, claims, or demands
  • Any violation of applicable laws or regulations
  • Any force majeure events or circumstances beyond our control
  • Any other matter whatsoever, regardless of the legal theory or basis of the claim

18.2 Complete Disclaimer of Warranties

The Platform and all services are provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, statutory, or otherwise. The Myelin Parties expressly disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties of accuracy, reliability, or completeness of information
  • Warranties of uninterrupted or error-free operation
  • Warranties of security or privacy protection
  • Warranties of medical efficacy or treatment outcomes
  • Warranties of compliance with applicable laws or regulations
  • Any implied warranties arising from course of dealing or usage of trade

18.3 Zero Liability Cap

Under no circumstances shall the total liability of the Myelin Parties to you or any third party for all damages, losses, and causes of action exceed zero pounds (£0.00). This limitation applies regardless of the legal theory upon which the claim is based, including but not limited to contract, tort (including negligence), strict liability, breach of warranty, or any other legal or equitable theory.

18.4 Exclusion of Consequential and Special Damages

In no event shall the Myelin Parties be liable for any consequential, incidental, indirect, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of use, loss of goodwill, business interruption, personal injury, wrongful death, emotional distress, or any other pecuniary or non-pecuniary losses, even if the Myelin Parties have been advised of the possibility of such damages.

18.5 Medical Malpractice and Professional Liability Exclusion

The Myelin Parties shall have no liability whatsoever for any medical malpractice, professional negligence, or healthcare-related claims. All healthcare providers using the Platform are independent contractors, and the Myelin Parties do not supervise, control, or direct their medical practice. Any claims related to medical care must be pursued directly against the individual healthcare provider, not against the Myelin Parties.

18.6 Survival of Limitations

The limitations of liability and disclaimers set forth in these Terms shall survive the termination of these Terms and shall apply even if any limited remedy specified in these Terms is found to have failed of its essential purpose.

19. Comprehensive Legal Protection and Immunity

19.1 Absolute Legal Immunity

To the fullest extent permitted by law, the Myelin Parties shall be immune from all legal proceedings, lawsuits, claims, demands, and causes of action of any kind. By using the Platform, you irrevocably waive any and all rights to sue, make claims against, or seek damages from the Myelin Parties in any court of law, arbitration proceeding, or other legal forum.

19.2 Waiver of Right to Sue

You hereby expressly and irrevocably waive, release, and forever discharge the Myelin Parties from any and all claims, demands, actions, causes of action, suits, proceedings, liability, damages, losses, costs, and expenses of any kind or nature whatsoever, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way connected with your use of the Platform.

19.3 Prohibition on Legal Action

You agree that you shall not, under any circumstances, initiate, participate in, or support any legal action, lawsuit, claim, or proceeding against the Myelin Parties, whether in contract, tort, negligence, strict liability, or any other legal theory. This prohibition extends to all forms of legal proceedings, including but not limited to:

  • Civil lawsuits in any jurisdiction
  • Class action lawsuits or collective proceedings
  • Arbitration proceedings
  • Administrative complaints or regulatory actions
  • Criminal complaints or prosecutions
  • Professional disciplinary proceedings
  • Insurance claims or third-party liability claims
  • Any other form of legal or quasi-legal proceeding

19.4 Statutory and Regulatory Immunity

The Myelin Parties claim all available statutory immunities, protections, and defenses under applicable law, including but not limited to immunity under the Communications Decency Act, Digital Millennium Copyright Act, and any other applicable safe harbor provisions. The Myelin Parties shall not be subject to liability under any consumer protection, healthcare regulation, or other statutory scheme.

19.5 Enforcement of Legal Protection

If any user attempts to initiate legal proceedings against the Myelin Parties in violation of these Terms, the Myelin Parties shall be entitled to immediate dismissal of such proceedings, recovery of all attorneys' fees and costs, and any other relief deemed appropriate by the court. The user shall be liable for all damages, costs, and expenses incurred by the Myelin Parties in defending against such prohibited legal action.

19.6 Indemnification by Users

You agree to indemnify, defend, and hold harmless the Myelin Parties from and against any and all claims, demands, actions, suits, proceedings, liability, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any rights of another person or entity.

20. Indemnification

20.1 User Indemnification Obligations

You agree to indemnify, defend, and hold harmless Myelin Technologies Limited, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, partners, licensors, contractors, healthcare providers, and all related entities (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, investigations, liability, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use or misuse of the Platform or any services provided through the Platform
  • Your violation of these Terms and Conditions or any applicable laws or regulations
  • Your violation of any rights of another person or entity, including privacy rights, intellectual property rights, or contractual rights
  • Any content, information, or data you submit, post, or transmit through the Platform
  • Your negligent acts, omissions, or willful misconduct in connection with the Platform
  • Any false, misleading, or inaccurate information you provide to healthcare providers or through the Platform
  • Your failure to comply with applicable healthcare regulations, professional standards, or licensing requirements
  • Any breach of confidentiality or unauthorized disclosure of health information
  • Any claims arising from your interactions with healthcare providers through the Platform
  • Any technical issues, security breaches, or system failures caused by your actions or negligence

20.2 Defense and Settlement

Upon notice of any claim subject to indemnification, you shall promptly assume the defense of such claim with counsel reasonably acceptable to the Indemnified Parties. You shall not settle any claim without the prior written consent of the Indemnified Parties. The Indemnified Parties reserve the right to participate in the defense of any claim with counsel of their choice at your expense.

20.3 Cooperation in Defense

You agree to cooperate fully with the Indemnified Parties in the defense of any claim, including providing all relevant information, documents, and testimony as reasonably requested. You shall not take any action that would prejudice the defense of any claim or the interests of the Indemnified Parties.

20.4 Survival of Indemnification

Your indemnification obligations shall survive the termination of these Terms and shall continue in full force and effect regardless of the reason for termination. This indemnification is in addition to, and not in lieu of, any other remedies available to the Indemnified Parties at law or in equity.

21. Insurance and Professional Liability

21.1 Healthcare Provider Insurance Requirements

All healthcare providers using our Platform must maintain adequate professional liability insurance coverage in amounts not less than £2,000,000 per occurrence and £5,000,000 in the aggregate (or equivalent amounts in local currency). We are not responsible for verifying the adequacy, validity, or current status of any healthcare provider's insurance coverage. Users acknowledge that they are responsible for verifying that their healthcare providers maintain appropriate insurance coverage.

21.3 Professional Liability and Malpractice

Healthcare providers using our Platform are solely responsible for their professional conduct, medical decisions, and any resulting liability. Each healthcare provider maintains an independent professional relationship with patients and is personally liable for any professional negligence, malpractice, or breach of professional standards. Myelin Technologies Limited shall not be liable for any professional malpractice claims or professional liability issues arising from healthcare services provided through the Platform.

21.4 Technology Errors and Omissions

While we maintain technology errors and omissions insurance for our Platform operations, this coverage does not extend to healthcare providers or users. Our insurance does not cover medical malpractice, professional liability, or healthcare-related claims. Users and healthcare providers are advised to maintain their own appropriate insurance coverage for their activities and professional services.

21.5 Insurance Claims and Reporting

In the event of any incident that may give rise to an insurance claim, healthcare providers must promptly notify their insurance carriers and comply with all policy requirements. Users experiencing issues with healthcare services should contact the healthcare provider's insurance carrier directly. We do not process insurance claims or serve as an intermediary in insurance matters.

21.6 Regulatory Compliance Insurance

Healthcare providers are responsible for maintaining any additional insurance coverage required by applicable healthcare regulations, professional licensing boards, or regulatory authorities in their jurisdiction. This may include cyber liability insurance, data breach coverage, and regulatory defense insurance. Compliance with insurance requirements is the sole responsibility of individual healthcare providers.

22. Termination and Account Suspension

22.1 Termination Rights

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and without prior notice or liability. Reasons for termination may include, but are not limited to, violation of these Terms, illegal or unauthorized use of the Platform, or conduct that we deem harmful to our users or our business.

22.2 User Termination

You may terminate your account at any time by following the account closure procedures on the Platform. Upon termination, your access to the Platform will be revoked, and your user data may be deleted in accordance with our Privacy Policy.

22.3 Effect of Termination

During Force Majeure Events that may affect healthcare service delivery, we will make reasonable efforts to maintain Platform availability and facilitate continuity of care. However, users acknowledge that Force Majeure Events may significantly impact healthcare services, and alternative healthcare arrangements may be necessary. Users are advised to maintain relationships with local healthcare providers and have emergency healthcare plans that do not rely solely on digital health platforms.

28.3 Termination Due to Extended Force Majeure

If a Force Majeure Event continues for more than ninety (90) consecutive days and materially affects our ability to provide the Platform services, either party may terminate these Terms upon written notice. In such cases, we will provide reasonable assistance in transitioning users to alternative healthcare service arrangements where possible.

29. Severability and Entire Agreement
